1. Acceptance of Terms

By accessing or using RealtyClientEngine at realtyclientengine.com and related services, you agree to be bound by these Terms of Service. If you do not agree, please do not use the service. These terms apply to all visitors, users, and customers of RealtyClientEngine.

2. Description of Services

RealtyClientEngine provides a software-as-a-service platform for real estate professionals, including a customer relationship management (CRM) system, a branded home-search website, lead-capture tools, communication tools, and related features. We may change, add, or remove features over time.

3. Accounts and Eligibility

You must be at least 18 years old and legally able to enter contracts to create an account. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account.

4. Free Trial and Subscriptions

We may offer a free trial of the service. After the trial period, continued access requires a paid subscription. Subscription fees are billed in advance on the cycle you select and are non-refundable except where required by law. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

5. Customer Responsibilities and Compliance

You are responsible for complying with all laws that apply to your use of the service, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, fair housing laws, MLS rules, and real estate licensing requirements. Before sending SMS, email, or calling any lead or client through our platform, you must obtain the consents required by applicable law. RealtyClientEngine provides tools to help, but does not act as your compliance officer.

6. Acceptable Use

You agree not to use the service to: violate any law; send unlawful, harassing, or deceptive communications; upload malware; attempt to gain unauthorized access to our systems or other customers' data; interfere with normal operation of the service; or resell, reverse engineer, or white-label the platform without our written consent.

7. Customer Data

You retain ownership of the data you upload to or create in the service. You grant us a limited license to host, process, transmit, and display that data as needed to operate the service. We process customer data as described in our Privacy Policy.

8. Intellectual Property

The service, including all software, designs, logos, text, and other content owned by us, is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is active.

9. Third-Party Services

The service may integrate with third-party services (such as MLS feeds, email and SMS providers, and analytics tools). We are not responsible for the availability, accuracy, or terms of those third-party services.

10. Disclaimer of Warranties

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, RealtyClientEngine will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless RealtyClientEngine and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the service if you materially breach these terms, fail to pay fees, or use the service in a way that exposes us or other users to legal risk. You may terminate your account at any time from your account settings.

14. Modifications to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or in-product notice. Continued use of the service after changes take effect constitutes acceptance of the revised terms.

15. Governing Law

These Terms of Service are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.
